Terms of Service

Effective: October 15, 2025

1) Acceptance of Terms

By creating an account or using VMProperty (the "Service"), you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a business, you represent you have authority to bind that business. If you do not agree, do not use the Service.

2) Eligibility & U.S. Use

  • You must be at least 18 and able to form a contract.
  • The Service is intended for use in the United States. You are responsible for compliance with federal, state, and local laws (e.g., landlord–tenant, fair housing, tax, privacy).

3) Account Registration & Security

  • Provide accurate information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity in your account.
  • We may suspend or terminate accounts for suspected fraud, abuse, or violations of these Terms.

4) Roles & Your Content

  • Roles may include owners/landlords, property managers, tenants, applicants, and service vendors.
  • You retain ownership of content you submit (e.g., listings, photos, leases, receipts). You grant VMProperty a non‑exclusive, worldwide, royalty‑free license to host, store, reproduce, and process that content as necessary to operate the Service.
  • You must have rights to the content you upload and ensure it does not infringe others' rights or violate law.

5) Listings, Leases, Notices & Compliance

  • You are solely responsible for the accuracy of property listings, charges, due dates, notices, and legal documents.
  • You must comply with Fair Housing and anti‑discrimination laws. Do not post discriminatory criteria or statements.
  • Nothing in the Service is legal advice. Consult counsel for your forms, notices, and procedures.

6) Fees, Payments & ACH Authorizations

  • VMProperty may facilitate payments (rent, deposits, fees) through third‑party processors (e.g., Stripe, Helcim, NACHA‑network ACH providers). Their terms apply in addition to these Terms.
  • You authorize our processors to debit/credit your bank accounts and to store your payment methods. You certify you are an authorized signer for any connected bank account.
  • You are responsible for chargebacks, returns (including NSF/ACH returns), processor fees, and applicable taxes.
  • Payout timing is not guaranteed and depends on processors and bank networks.
  • We may charge subscription or transaction fees. Pricing will be disclosed in the app or at checkout before you are billed.

7) Tenant Screening & FCRA (If Enabled)

  • If you order or use consumer reports (credit/background/eviction), you certify a permissible purpose and compliance with the Fair Credit Reporting Act (FCRA) and state laws.
  • You will follow adverse action rules (pre‑adverse/adverse notices with reasons and report provider details).
  • Keep reports confidential, use only for the stated purpose, and dispose of them securely (FTC Disposal Rule).

8) Identity Verification (If Enabled)

If you enable identity verification, you consent to the collection and processing of personal identifiers by our verification providers. You must use results solely for lawful purposes.

9) Communications, E‑Signatures & Records

  • You consent to receive electronic communications (email, in‑app, SMS) about your account and the Service. You may opt out of marketing; transactional messages are necessary.
  • Electronic signatures and records supported by the Service are valid and enforceable to the extent allowed by law.

10) Acceptable Use

You agree not to:

  • Violate law or others' rights; upload illegal, defamatory, obscene, or discriminatory content.
  • Interfere with the Service; introduce malware; scrape without permission; attempt to gain unauthorized access; reverse‑engineer non‑open features.
  • Circumvent fees or payment flows.

11) Third‑Party Services

  • We rely on third parties for hosting, analytics, identity/screening, communications, and payments/ACH. Their terms and privacy practices apply in addition to these Terms.
  • VMProperty is not responsible for third‑party services it does not control.

12) Intellectual Property

  • VMProperty, the VMProperty logo, and all non‑user content are owned by us or our licensors and protected by IP laws.
  • You may not use our marks without written permission.

13) Feedback

If you submit feedback or ideas, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction or compensation.

14) Warranties; Disclaimers; Limitation of Liability

  • THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
  • WE DO NOT GUARANTEE LEGAL COMPLIANCE, PAYMENT TIMING, UPTIME, DATA ACCURACY, OR ERROR‑FREE OPERATION.
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, VMPROPERTY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THAT PERIOD OR (B) $100.

15) Indemnification

You will defend, indemnify, and hold harmless VMProperty from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, or your violation of these Terms or law.

16) Term; Suspension; Termination

  • You may stop using the Service at any time. Fees already charged are non‑refundable unless our posted refund policy states otherwise.
  • We may suspend or terminate access with or without notice for any reason, including violations of these Terms. Sections intended to survive will survive (IP, disclaimers, limitations, indemnification, arbitration).

17) Governing Law; Dispute Resolution; Arbitration; Class Waiver

  • Governing law: State of Texas (excluding conflict‑of‑law rules).
  • Binding arbitration; no class actions: Any dispute will be resolved by binding arbitration on an individual basis; no class actions or class arbitrations. Small‑claims court remains an option. Arbitration rules (e.g., AAA Consumer Rules) apply; venue will be McKinney, Texas, unless prohibited by law. You may opt out within 30 days of creating your account by emailing contact@datacycle.tech with subject "Arbitration Opt‑Out" and your account email.

18) Changes to the Service and Terms

  • We may change or discontinue features at any time.
  • We may update these Terms. We will post updates with a new effective date and, for material changes, provide notice via the app or email. Continued use after changes means you accept the updated Terms.
